Terms of Service

These Terms of Service ("Terms") govern your access to and use of Ucreate ("Platform"), a product owned and operated by Collabforge Technologies Pvt Ltd ("we", "us", "our"). By accessing or using the Platform, you ("user", "creator", "brand") agree to be bound by these Terms, along with our Privacy Policy, Cancellation and Refund Policy, and Shipping Policy, which together form a legally binding agreement.

1. Eligibility

Ucreate is intended for individuals who are at least 18 years of age. By signing up, you confirm that you are legally competent to enter into binding contracts under applicable law.

2. Definitions

Creators: Individuals who sign up to create and deliver user-generated content (UGC) in exchange for compensation.

Brands: Businesses or individuals who place orders for UGC through the Platform.

Users: Includes all individuals or entities who sign up for the Platform, including waitlist members, community participants, and Bootcamp attendees, whether or not they actively place or accept gigs.

3. Platform Role

Ucreate is a technology-enabled marketplace that connects brands with creators. We provide tools for order placement, creator matching, workflow management, and payments. We do not directly employ creators, and creators act as independent contractors when fulfilling orders.

All content transactions occur between brands and creators, with Ucreate acting solely as an intermediary. By using the Platform, you acknowledge that Ucreate is not responsible for the quality, originality, or performance of content created by independent creators.

4. Payments

All payments by brands for UGC orders must be made through the Platform. Creators will be compensated only through Ucreate, after successful delivery and approval of content as per the order brief. The Platform deducts its service fee before disbursing payments to creators.

Brands agree that orders are binding once placed, and refunds or cancellations are subject strictly to the Cancellation and Refund Policy.

5. Shipping and Product Handling

Brands are responsible for providing accurate shipping details when sending products to creators. Shipping is carried out via third-party vendors, and Ucreate does not assume liability for loss, theft, or damage during transit. Creators must ensure timely acceptance and safe storage of delivered products. Further details are outlined in the Shipping Policy.

6. Content Rights and Usage

Creators grant brands a non-exclusive, royalty-free license to use the delivered content for marketing and promotional purposes, including advertisements, social media posts, and other digital channels, unless otherwise specified in writing.

Creators also consent to Ucreate using submitted or completed content (including anonymized references) for platform promotion, internal case studies, and marketing showcases.

7. Privacy and Data Usage

We collect and process user data in accordance with our Privacy Policy. This includes personal identifiers, payment details, and content submissions. By using the Platform, you consent to such collection and usage.

8. Prohibited Use

You agree not to misuse the Platform, including but not limited to:

• Submitting false or misleading information.
• Circumventing the Platform to transact directly outside Ucreate after discovery of a creator or brand.
• Uploading content that is unlawful, offensive, or infringes intellectual property rights.
• Attempting to interfere with the Platform's security, servers, or infrastructure.

Violation of these restrictions may result in suspension or permanent termination of your account.

9. Limitation of Liability

Ucreate provides the Platform on an "as-is" basis without warranties of any kind, express or implied. To the maximum extent permitted by law, Ucreate disclaims liability for any indirect, incidental, or consequential damages arising from your use of the Platform.

10. Modifications

We reserve the right to update or modify these Terms at any time. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
